The Co-op

Circuit Cooperative has a flat organizational structure. There is only one type of person in the cooperative: Members.

Members

Members:

  • Voluntary
  • Equal partners of the cooperative
  • Idea creators for The Board

The Board

The cooperative is responsible for electing a Board, which is comprised of Members. The responsibilities of the Board include ensuring that the cooperative is working towards achieving its mission, setting up operational policies for the co-op and hiring any outside managers or other employees.

The Board votes on Ideas. Ideas can be surfaced by any member of the cooperative, but must follow the [Idea Policy].

Votes in the Board on Ideas are recorded as:

  • Agree: The Board member agrees with the Idea, and wishes to implement it
  • Disagree: The Board member disagrees with the Idea, and does not wish to implement it
  • No Vote: The Board member either did not vote, or deliberately chose to abstain from voting

Board Policy

The following Board Policy is immutable:

  • Votes are on Ideas
  • One vote per Board Member
  • Votes must be in the form of Agree, Disagree, or No Vote.
  • Votes cannot be cast by surrogates
  • You can submit Ideas if you are on The Board
  • If you are on The Board, you must cast “No Vote” if you submitted the Idea being voted on

The following Board Policy can only be modified by a unanimous Agree vote:

  • The Board’s membership should ideally be comprised of 1/5th of the cooperative, however:
    • The minimum number of Board members is 4
    • The maximum number of Board members is 10
  • Tiebreakers are decided by rolling a single d20, into an empty container, once. If the result is an odd number, the d20 casts an Agree vote. If the result is an even number, the d20 casts a Disagree vote.

Other Board Policy will be decided by Ideas.

Ideas

Ideas are the cooperative’s mechanism for developing, encouraging, and implementing Changes. Ideas can be submitted by any Member via the [Idea Form].

  • The Board is obligated to vote on IPs within 30 days of submission
  • Votes on IPs are decided by simple majority
  • Tie Breakers are decided by Board Policy (see above)

Changes

A Change is any modification to the cooperative that requires a Board Vote, including but not limited to:

  • Asset Ownership
  • Cooperative Policy
  • Membership: addition and removal of members
